Shell Agrees To Sell Nigerian Gas Business, Sets Exit In Motion

Shell Petroleum B.V. has agreed to sell its entire interest in Shell Nigeria Gas Group to indigenous energy firm Vaaris Energy Limited, subject to regulatory approvals and other conditions.

Announced on Tuesday, October 13, 2026, the transaction’s financial terms were not disclosed.

Established in 1998, Shell Nigeria Gas supplies industrial and commercial customers through about 170 kilometres of pipelines across Ogun, Abia and Rivers states, serving more than 130 connected customers.

The proposed sale follows Shell’s broader restructuring of its Nigerian portfolio. In March 2025, the company completed the sale of its onshore subsidiary, Shell Petroleum Development Company of Nigeria Limited, to Renaissance Africa Energy Company after securing Federal Government approval.

Vaaris is also pursuing a separate acquisition of TotalEnergies’ 10 per cent interest in the Renaissance joint venture, announced in January 2026.

Despite the planned divestment, Shell will retain its deepwater oil and gas operations in Nigeria and its 25.6 per cent stake in Nigeria LNG Limited.

In October 2025, Shell and Sunlink Energies and Resources Limited approved investment in the offshore HI gas project, with production expected before the end of the decade.

The agreement would transfer Shell’s gas distribution business to Nigerian ownership without ending its wider involvement in the country’s gas industry.
